These Terms of Service ("Terms") govern your use of the NERSI RADIO music-distribution and promotion platform, available at nersiradioit.com and its sub-domains (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who we are
NERSI RADIO is operated from Via Torino 213, 10015 Ivrea (TO), Italy. Contact: nersiradioit@gmail.com.
2. Eligibility
You must be at least 13 years old (16 in the European Economic Area) to create an account. If you create an account on behalf of a label, company or other legal entity, you confirm that you have authority to bind that entity to these Terms.
3. Your account
- You are responsible for keeping your password confidential and for all activity that occurs under your account.
- You must provide accurate, current and complete information at registration and keep it up to date.
- You may not impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- One account per person — duplicate accounts may be suspended.
- Admin role is reserved for the four whitelisted NERSI RADIO operator emails. You cannot self-promote to admin.
4. Content you upload — your rights and warranties
You retain full ownership of the audio, video, artwork, metadata and other content you upload ("Your Content"). By uploading Your Content, you grant NERSI RADIO a worldwide, non-exclusive, royalty-free license to host, store, reproduce, distribute, transmit, publicly perform and display Your Content for the sole purpose of delivering the Service — including delivery to the Digital Service Providers (DSPs) you select (Spotify, Apple Music, YouTube Music, Tidal, Deezer, Amazon Music, Pandora, SoundCloud, TikTok, Instagram, VEVO, Boomplay, Audiomack, Napster, Anghami and others).
You warrant that:
- You own or have all necessary rights, licenses, consents and clearances for Your Content, including from any featured artists, producers, songwriters, publishers, sample owners and performing-rights organizations.
- Your Content does not infringe any copyright, trademark, right of publicity, privacy right, or any other third-party right.
- Your Content is not defamatory, obscene, hateful, threatening, fraudulent or otherwise unlawful.
- Royalty splits you configure within the Service are accurate; you alone are responsible for paying collaborators if NERSI RADIO is unable to do so directly.
5. Distribution to DSPs
- NERSI RADIO transmits Your Content to the DSPs you choose. Each DSP applies its own acceptance, takedown and content policies; we cannot guarantee acceptance or live-date.
- Standard delivery lead time is 7 to 14 business days. Some DSPs (notably Apple Music, Spotify) may take longer to review.
- You can request takedown at any time via the dashboard. Removal from each DSP follows that DSP's own takedown timeline (typically 7-30 days).
- If a DSP rejects Your Content, you will be notified in the dashboard. You may resubmit after correcting the issue.
6. Royalties and payouts
- NERSI RADIO collects royalties from DSPs on your behalf, applies the royalty splits you configured, and pays out your share via PayPal, IBAN bank transfer or Stripe Connect.
- NERSI RADIO retains a platform fee disclosed on your active subscription plan. The remaining royalties are 100% yours.
- Payouts are processed on a regular cycle (typically monthly) once your minimum balance has accumulated. You can set your minimum balance and payout method in Profile → Payout.
- You are responsible for declaring and paying taxes on royalties you receive.
7. Subscriptions and refunds
- Paid plans (Artist and Label) are billed annually via Stripe. The plan begins immediately and renews automatically until cancelled.
- You may cancel at any time from the Billing page. Cancellation stops the next renewal; access continues until the end of the current paid period.
- EU consumers have a 14-day right of withdrawal from the date of purchase unless you have started using the Service to distribute releases (which constitutes performance and waives the withdrawal right).
- Failed payments may result in suspension of distribution until resolved.
8. Prohibited conduct
You agree not to:
- Upload content you do not have the rights to distribute.
- Generate fake streams, fake plays, fake downloads or otherwise manipulate metrics on the Service or any DSP — this is grounds for immediate account termination and forfeiture of unpaid royalties.
- Reverse-engineer, scrape, or attempt to bypass authentication, rate limits, the admin whitelist, or any other security feature of the Service.
- Use the Service to distribute malware, phishing, hate speech, illegal content, or content that exploits minors.
- Resell, sublicense, or otherwise commercially exploit access to the Service without our written permission.
9. Suspension and termination
NERSI RADIO may suspend or terminate your account at any time if you breach these Terms, abuse the Service, or if continued service would expose us to legal risk. You may close your account at any time from the dashboard or by emailing us. Outstanding royalties earned in good faith will be paid out at the next regular cycle.
10. Intellectual property of NERSI RADIO
The NERSI RADIO name, "ON AIR" wordmark, logos, design system, software code, dashboard, smart-link templates, and analytics dashboards are the property of NERSI RADIO and protected by copyright, trademark and other laws. No license is granted to use them except as expressly stated in these Terms.
11. Third-party services
The Service integrates with third-party providers (Google / YouTube, Mixcloud, Stripe, PayPal, Resend, DSPs). Your use of those services is governed by their own terms and privacy policies. NERSI RADIO is not responsible for outages, errors or changes in those services.
12. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory or otherwise. We disclaim all warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, or that any DSP will accept or keep Your Content live.
13. Limitation of liability
To the maximum extent permitted by law, NERSI RADIO will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising from or in connection with the Service. Our total liability for any claim arising under these Terms is limited to the amount you paid us in the 12 months preceding the claim.
14. Indemnity
You agree to indemnify and hold harmless NERSI RADIO, its operators and partners against any claim, loss, liability, damage or expense (including reasonable legal fees) arising from (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any third-party right.
15. Copyright complaints (DMCA / EU CDSM)
If you believe content on NERSI RADIO infringes your copyright, send a takedown notice to nersiradioit@gmail.com including: (1) your contact details, (2) identification of the work, (3) the URL of the alleged infringement, (4) a statement of good faith, and (5) your electronic signature. We will respond within 14 days.
16. Governing law and disputes
These Terms are governed by the laws of Italy, without regard to conflict-of-law principles. Any dispute will be subject to the exclusive jurisdiction of the courts of Torino, Italy, save where mandatory consumer-protection laws of your country of residence apply.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email or by a notice on the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
